Item 4.01 Changes in Registrant’s Certifying Accountant.

The Audit Committee of the Board of Directors (the “Committee”) of Hillstream BioPharma, Inc. (the “Company”) recently conducted a competitive selection process to determine the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2023. As a result of this process, on July 12, 2023, the Committee approved the appointment of Rosenberg Rich Baker Berman P.A. (“RRBB”) as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2023 effective as of July 12, 2023, replacing Mayer Hoffman McCann P.C.

During the two most recent fiscal years and the subsequent period through the appointment of RRBB, the Company did not consult with RRBB regarding any of the matters set forth in Item 304(a)(2)(i) or (ii) of Regulation S-K.
