APPLICATION TO LIST SHARES

Application has been made for the block listing of 27,000,000 Ordinary Shares of 5 pence each to the Official List of the UK Listing Authority and to trade on the London Stock Exchange's main market for listed securities.

Application has also been made for the admission of these shares to the Official List and to trade on the Main Securities Market of the Irish Stock Exchange.

These shares will be issued pursuant to the Tesco PLC 2004 Discretionary Share Option Plan (20,400,000 shares), the Tesco PLC Group Bonus Plan (4,000,000 shares), the Tesco Unapproved Executive Share Option Scheme (1996) (1,850,000 shares) and the Tesco International Executive Share Option Scheme (1994) (750,000 shares).

The shares will rank equally with the existing issued Ordinary Shares of Tesco PLC.
