Grant of Awards under the Tesco PLC Performance Share Plan 2011 (the "PSP")

On 16 January 2020, Gerry Mallon, a member of the Company's Executive Committee, was granted an award over 270,216 Ordinary Shares of 5 pence each in the Company under the rules of PSP, the number of shares being calculated using a market price of 249.80 pence per share.

The award has been made in the form of conditional shares which will vest on 9 October 2021 subject to the achievement of performance conditions over the vesting period. 

For any dividends paid in the period between the grant and vesting of the conditional shares, the number of shares will be increased to reflect the dividends that would have accrued had they been reinvested in shares.
