TERNA: 2021 CALENDAR OF CORPORATE EVENTS

Rome, 29 January 2021 – Terna S.p.A. ("Terna"), announces its 2021 financial calendar for the examination of the Company's accounts by the Board of Directors:

➢24 March 2021:	Terna Group Consolidated Financial Statements, draft separate
	financial statements of Terna at 31 December 2020 and proposed
	allocation of income;
➢12 May 2021:	interim report at 31 March 2021;
➢ 29 July 2021:	half-yearly financial report at 30 June 2021;
➢10 November 2021:	interim report at 30 September 2021.

Conference calls are planned following the above-mentioned meetings for the presentation of economic and financial results to the markets.

During the fourth quarter, on a date to be set at a later stage, the Board of Directors will be held to update the multi-year Industrial Plan.

The Shareholders' Meeting called to approve Terna S.p.A.'s financial statements as at 31 December 2020, as well as the allocation of income, will be held between 30 April and 7 May 2021, on a date to be set at a later stage.

The payment of ordinary dividends in 2021, also bearing in mind the time frame for the Shareholders' Meeting to approve the financial statements, will occur as follows:

➢23 June 2021: payment of final dividend for 2020, with ex-dividend date falling on 21 June 2021 (record date pursuant to art.83-terdecies of Legislative Decree no. 58 dated 24 February 1998, known as the "Consolidated Law on Finance" or "CLF": 22 June 2021); ➢24 November 2021: payment of interim dividend for 2021, with ex-dividend date falling on 22 November 2021 (record date pursuant to art.83-terdecies of Legislative Decree no. 58 dated 24 February 1998, known as the "Consolidated Law on Finance" or "CLF": 23 November 2021).

The market will be notified in due time of any changes to the above arrangements.
