In accordance with section 671B of the Corporations Act. Telstra attaches a Notice of Change of Interests of Substantial Holder in relation to Commander Communications Limited (Commander).
Telstra has not acquired any shares in Commander. The Notice indicates that Telstra's voting power in Commander has increased by 3.29%. This is because Telstra has, by entering into an agreement for the sale of its Commander shareholding with Alchemy Investment Holdings Limited and Babcock & Brown, become an "associate" (within the meaning of the Corporations Act 2001) of Alchemy Investment Holdings Limited (which already held 3.29% of Commander's voting shares).

*In accordance with section 12 of the Corporations Act, Telstra Corporation Limited has become an associate of Alchemy Investment Holdings Pty Limited as a result of Telstra Corporation Limited having entered into an agreement with Alchemy Investment Holdings Pty Limited and Babcock & Brown Pty Ltd dated 18/07/2003 (attached as Annexure B to Babcock & Brown Group's Initial Substantial Holder Notice dated 21/7/2003). Alchemy Investment Holdings Pty Limited and Babcock & Brown Pty Ltd have disclosed a relevant interest in 4,999,780 shares (other than the 23,850,000 shares in which Telstra Group had a relevant interest in previously). By virtue of this associate relationship, Telstra Corporation Limited's voting power in Commander Communications Limited is regarded under the legislation as having increased by 3.29% to 19.89%.
However, Telstra Group has no relevant interest in any Commander Communications Limited ordinary shares other than in relation to its original 23,850,000 ordinary share holding.
