Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On May 2, 2005, James V. Agnello was named Vice President of Finance for one of the operating groups within the commercial segment of Teleflex Incorporated (the "Company") and, therefore, has left his position as Corporate Controller and Chief Accounting Officer of the Company. The Company is actively engaged in the process of seeking a new Chief Accounting Officer. Martin S. Headley, Executive Vice President and Chief Financial Officer of the Company, will serve as Chief Accounting Officer of the Company on an interim basis until a new Chief Accounting Officer is appointed.
