Cleansing notice under section 708A of the Corporations Act 2001 (Cth)

This notice is given by Tasman Resources Ltd ACN 009 253 187 (Company) (ASX: TAS) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (“Act”).

Further to the ASX announcement dated 21 October 2025 regarding the issue of 92,000,000 fully paid ordinary shares to sophisticated investors as the second tranche of a share placement (“Placement Shares”), the Company advises that the issue of the Placement Shares occurred on 11 December 2025. Further, the Company today issued 15,487,709 fully paid ordinary shares to current Directors, a former Director and an advisor of the Company in satisfaction of accrued fees and liabilities as outlined in the Notice of Meeting dated 29 October 2025 (relating to shareholder resolutions 8 to 11) (“Board & Advisor Shares”).

The Company provides notice that:

1. the Placement Shares and Board & Advisor Shares were issued without disclosure under Part 6D.2 of the Corporations Act;

2. as at the date of this notice the Company has complied with:

   • i. the provision of Chapter 2M of the Corporations Act as they apply to the Company; and

   • ii. section 674 of the Corporations Act; and

3. as at the date of this notice there is no excluded information required to be disclosed under section 708A(6)(e) of the Corporations Act.
