Pursuant to Regulation 30 read with Part A of Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015, (“SEBI LODR Regulations”) and based on the recommendation of the Nomination and Remuneration Committee of the Company, the Board of Directors of the Company at their meeting held today i.e. on August 13, 2024, approved the appointment of Mr. Asbab Sayyed (DIN:10740817) as an Additional Non-Executive Independent Director of the Company w.e.f. August 13, 2024 subject to the approval of the shareholder at the ensuing general meeting of the Company.
We hereby confirm that Mr. Asbab Sayyed (DIN:10740817) satisfies the criteria of independence prescribed under the Companies Act, 2013 and Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and that they are not debarred from holding the office of Director in the Company by virtue of any SEBI order or any such authority.
