CLEANSING NOTICE

Tali Resources Ltd (ASX:TR2) (Tali or the Company) provides this notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) (the Act).

Tali advises that it has today issued 11,320,775 fully paid ordinary shares in the capital of the Company (Shares) to sophisticated and professional investors under a private placement as announced to the ASX on 7 May 2026.

The Company gives notice that:

(a) Tali issued the Shares without disclosure under Part 6D.2 of the Act;
(b) this notice is being given under section 708A(5)(e) of the Act;
(c) as a disclosing entity, Tali is subject to regular reporting and disclosure obligations;
(d) as at the date of this notice, Tali has complied with:

(i) the provisions of Chapter 2M of the Act, as they apply to the Company; and
(ii) sections 674 and 674A of the Act, as they apply to the Company; and

(e) as at the date of this notice, there is no information that is "excluded information" within the meaning of sections 708A(7) and 708A(8) of the Act that is required to be set out in this notice.
