EXPLANATORY NOTE

A Special General Meeting of Shareholders of Taboola.com Ltd. (the “Company”) will be held on Friday, December 30, 2022, at 9:00 a.m. (Eastern time), at the offices of Davis Polk & Wardwell LLP, 450 Lexington Ave., Floor 8, New York, NY 10017. In connection with the Special General Meeting of Shareholders, the Company hereby furnishes the following documents:

(i) Notice and Proxy Statement with respect to the Company’s Special General Meeting of Shareholders describing proposals to be voted upon at the meeting, the procedure for voting in person at the meeting or by proxy and various other details related to the meeting; and

(ii) Proxy Card whereby holders of ordinary shares of the Company may vote at the meeting without attending in person.
