UPDATE TO INDICATIVE TIMETABLE

Intecq Limited (“ Intecq ”) refers to the indicative scheme implementation timetable contained in the Scheme Booklet dated 23 September 2016 in relation to proposed Scheme of Arrangement under which a wholly-owned subsidiary of Tabcorp Holdings Limited (ASX Code: TAH) (" Tabcorp ") will acquire 100 per cent of Intecq's issued capital (" Scheme ").

The indicative timetable contemplated that the Scheme Meeting would be held on 28 October 2016, that the Second Court Hearing would be held on 4 November 2016, and the Implementation Date would be towards the end of November 2016.

Due to certain procedural delays, the necessary regulatory approvals in certain jurisdictions may not be obtained by the Second Court Hearing, which is scheduled for 4 November 2016.

In light of this, Intecq will proceed with the Scheme Meeting on 28 October 2016 and Second Court Hearing on 4 November 2016. However, Intecq will be seeking leave of the Court to adjourn the Second Court Hearing for final orders to a date following receipt of the relevant regulatory approvals, which at this stage is expected to be on 9 December 2016.

Subject to the final orders of the Court, the Implementation Date will occur as soon as practicable following the adjourned Second Court Hearing date, and is expected to occur before 31 December 2016.

Both Intecq and Tabcorp look forward to the completion of the Scheme.

Revised Timetable

The revised indicative timetable to the implementation of the Scheme is as follows:
