SUPREME COURT OF NEW SOUTH WALES APPROVES SCHEME OF ARRANGEMENT

Court Approval

The Supreme Court of New South Wales has today made orders approving the Scheme of Arrangement (“ Scheme ”) under which Tabcorp Gaming Holdings Pty Ltd, a wholly-owned subsidiary of Tabcorp Holdings Limited (ASX Code: TAH), will acquire all of the issued share capital in Intecq Limited ( "Intecq" ).

It is expected that a copy of the order of the Court will be lodged with the Australian Securities and Investments Commission today, at which time the Scheme will become legally effective.

The Scheme will be implemented on 16 December 2016 and payment of the Scheme Consideration to Intecq Shareholders who hold shares at the Scheme Record Date will be dispatched on the Implementation Date.
