This is to inform that the Company has executed a 'Share Subscription cum Shareholders Agreement' with Mis Haze.l Infra Limiltu ('HIL ') to subst:ribt) to its 1,'12,305 Equity Shnres of Rs. 10/- each at par.

By virtue of the above agreement, Mis HIL will become subsidiary of the company.
