Notice is hereby given that the 27th Annual General meeting (AGM) of the members of the Company will be held on Monday, September 30, 2024 at 11:30 A.M. (IST) at the registered ofEce of the Company at Prestige Falcon Tower, No.19, Brunton Road, Bangalore – 560025, to transact the businesses as set out in the notice of the AGM. In accordance with Securities and Exchange Board of India ('SEBI') circular dated October 7, 2023 the Annual Report 2023-24, containing the notice of Annual General Meeting is being dispatched through electronic mode by Central Depository Services (India) Limited (CDSL) on September 7, 2024 to those members whose e-mail address are registered with the Company or Registrar & Transfer Agent and Depositories. The requirement of sending physical copies of the Notice of the AGM and the Annual Report has been dispensed vide MCA Circulars and the SEBI circulars.
The Annual Report 2023-2024 and the notice of 27th Annual General Meeting is available on the website of the Company at www.prestigeconstructions.com and on the websites of the Stock Exchanges viz. www.bseindia.com and www.nseindia.com. A copy of the same is also available on the website of CentralDepository Services (India)Limitedat www.evoting.cdsl.com.
The members are requested to refer the Notice of AGM, for detailed instructions for participating in theAGM.
Remote e-Voting:
In compliance with Section 108 of the Companies Act, 2013('the Act') read with rule 20 of the Companies (Management and Administration) Rules, 2014, as amended from time to time, the Secretarial Standard on General Meetings ('SS-2') issued by the Institute of Company Secretaries of India and Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company is providing to its members the facility of remote e-voting before the AGM in respect of the business to be transacted at the AGM and forthis purpose, the Company has appointed CDSLforfacilitating voting through electronic means.
The detailed instructions for remote e-voting are given in the Notice of the AGM. Members are requestedto note the following:
a.The ordinary andspecial business as set outin the Notice ofAGMmay be transactedthrough remote e-voting by electronic means
b. The remote e-voting period begins on Friday, September 27, 2024 at 9.00 AM (IST) and ends on
Sunday, September 29, 2024 at 5.00 PM (IST). The e-voting module shall be disabled by CDSL for voting thereafter.
c. The cut-off date for determining the eligibility to vote through remote e-voting or atthe AGM will be Monday, September 23, 2024;
d. Any person, who acquires the shares of the Company and becomes a member of Company after dispatch of Notice of AGM and holds shares as of cut-off date i.e. Monday, September 23, 2024 may obtain the Login ID and password by sending a requestto the Company or CDSL atthe address/email IDs given under point no. g below. However, if the member is already registered with CDSL for remote e-voting, then such member shall use the existing User ID and password for casting his/her vote;
e. The facility for ballot / polling paper shall be made available at the Meeting and the members attending the Meeting who have not cast their vote by remote e-voting shall be able to vote at the Meeting through ballot/ pollingpaper.There shall be no voting by show of hands attheAGM. f. Once the dividend is approved by the shareholders in the AGM, the Company will make the payment ofdividend within 30days.
Pursuant to Finance Act, 2020, dividend income is taxable in the hands of the shareholders w.e.f April 1, 2020 and the Company is required to deduct tax at source from dividend paid to shareholders at the prescribedrates. Fortheprescribedrates for various categories,please referto FinanceAct, 2020.
A resident shareholder with PAN and who is not liable to income tax can submit a yearly declaration in Form No. 15G/ 15H, to avail the beneEt of non-deduction of tax at website of RTA (Link Intime India Private Limited) in the link given https://liiplweb.linkintime.co.in/formsreg/submission-ofform-15g-15h.html on or before September 25, 2024.
