4. Completion of Heatleys Acquisiton

The Company confirms the completion of the Share Purchase Agreement between the Company and Heatleys Group, Tyrone Australia Pty Ltd in its capacity as the trustee of Heatleys Unit Trust ( Vendor ), Sam Barbaro and Jayne Shaw, to acquire 100% of the Heatleys Group from the Vendor, including the payment of $7,750,000 and issue of 6,250,000 Shares to the Vendor.

5. Issue of Shares on Conversion of Preference Shares

The Company confirms the issue of 4,000,000 Shares to Capital Drilling Limited on conversion of 600,000 preference shares held by Capital Drilling Limited.

6. Issue of Director Shares

The Company confirms the issue of 850,000 Shares to Mr Christopher Wharton.

7. Issue of Options

The Company confirms the issue of 4,994,737 options exercisable at $0.25 each and expiring on 27 September 2022 to the joint lead managers to the IPO, being Hartleys Limited and Argonaut Securities Pty Limited.
