Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 27, 2010, the Board of Directors of the general partner of Star Gas Partners, L.P., a Delaware limited partnership (the “Partnership”), announced the appointment of Mr. Steven Goldman as the Executive Vice President and Chief Operating Officer of the Partnership, effective as of May 1, 2010. Mr. Goldman has been an officer of the Partnership and its subsidiaries since 2004 and was most recently the Senior Vice President of Operations. Mr. Goldman’s salary will be $315,000 per annum.
