Notification of transactions of Persons Discharging Managerial Responsibilities

This notification is made in accordance with the requirements of Rule 3.1.4R of the FCA's Disclosure Rules and Transparency Rules.

On 27 November 2015, awards taking the form of nil cost options or conditional share awards ("Awards") to acquire ordinary shares of 1 pence each ("Shares") in the Company were granted to certain persons discharging managerial responsibilities ("PDMRs") under the SSP Group plc Performance Share Plan ("PSP"), as set out in column 3 in the table below.

The number of Shares subject to the Awards has been determined by reference to the closing price of the Company's Shares on the day before the Awards were granted, being 310.4 pence per Share.

The vesting of the Awards is subject to the satisfaction of performance conditions measured over the three-year period from 1 October 2015 to 30 September 2018.  75% of the total Awards is based on earnings per share (EPS) growth and 25% of the total Awards is based on relative Total Shareholder Return (TSR).

No consideration was paid for the grant of any of the Awards.
