Explanatory Note

Item 2.02 Results of Operations and Financial Condition.

On September 12, 2025, SR Bancorp, Inc., the holding company for Somerset Regal Bank, issued a press release reporting its financial results for the quarter and year ended June 30, 2025, which corrected and restated its previously issued press release (on July 31, 2025).

A copy of the restated press release announcing the results is included as Exhibit 99.1 to this Current Report on Form 8-K and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933.
