Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On November 16, 2016, the Board of Directors of SpartanNash Company approved amendments to the Company’s Bylaws. The following is a summary of the amendments:

  1. A provision addressing the authority of the Chairman to determine the conduct of shareholder meetings was revised to provide the Chairman with more flexibility to establish rules, regulations, and procedures for any such meeting, subject to the oversight of the Board of Directors.

  2. The Bylaws were amended to provide that the number of directors of the Company must be determined by at least 75% of the Board of Directors. This amendment conforms the Bylaws to the Company’s Articles of Incorporation, which also require that the board size be determined by at least 75% of the Board of Directors.

  3. The Bylaws were amended to eliminate the possibility of non-director members serving on the Nominating and Corporate Governance Committee.

  4. The Board of Directors amended the Bylaws to provide that the company “shall,” rather than “may,” indemnify directors and officers. This amendment conforms the Bylaws to the Company’s Articles of Incorporation, which provide that directors and officers “shall be indemnified as a matter of right…”
