Results of the Ordinary and Extraordinary Shareholders' Meetings of Solvac

Brussels, May 13 2020 - The Ordinary and Extraordinary Shareholders' General Meetings of Solvac held virtually on May 12, 2020.

All the resolutions of these Meetings were adopted by the shareholders.

In particular, the Ordinary General Meeting approved the payment of dividend per share at € 5.44 gross for the fiscal year 2019, an increase of 4.2% compared to 2018.

During this meeting, the shareholders also approved:

• the re-election of Mr Jean-Pierre Delwart as Board Member for one year, until May 2021, taking into account the age limit,
• the appointment of Ms Olivia Rolin as Independent Board Member of the Board of Directors for four years, replacing Mr Bruno Rolin who decided not to seek a new term of Board Member,
• the appointment of Mr Jean-Marie Solvay as Independent Board Member of the Board of Directors for four years.

The Extraordinary General Meeting approved the proposals for decisions relating to the acquisition of own shares in articles 7 b and 10 ter 2° and 3° of the current statutes.

Other statutory changes relating to the Shareholders' Meeting voting system and bringing the statutes in line with the new Companies and Associations Code were also approved.
