BOA OFFSHORE AS - Result of Buy-Back Offer to bondholders in BOAO03 PRO

Boa Offshore AS (the "Company") refers to the

Company's stock exchange notice on 31 May 2016 in

which the Company announced a buy-back offer (the "Buy-

Back Offer") for its remaining outstanding bonds

issued with ISIN NO0010741895 and ticker BOAO03 PRO

("BOAO03 PRO").

The Buy-Back Offer expired at 16.00 CET on 2 June 2016

and the Company informs that acceptances for a total

of NOK 18.6m nominal of bonds were received. Total

holding after the Buy-Back Offer is NOK 89.9m.
