SOLIDWORLD GROUP: FUSIONE PER INCORPORAZIONE DELLA SOCIETÀ CONTROLLATA VALORE BF 3D S.R.L. IN SOLIDWORLD GROUP S.P.A.

ISCRIZIONE DECISIONE IN ORDINE ALLA FUSIONE

Treviso, 18 dicembre 2024 – SolidWorld Group S.p.A., società quotata sul mercato Euronext Growth Milan (ticker S3D) e a capo del Gruppo leader nei settori delle tecnologie industriali di design e stampa 3D, della bio-fabbricazione 3D e delle linee di produzione di macchinari per la fabbricazione di pannelli fotovoltaici di ultima generazione, facendo seguito a quanto comunicato in data 4, 5, 14 e 16 dicembre u.s., rende noto che in data odierna sono state iscritte le rispettive deliberazioni di fusione nei competenti Registri delle imprese per la decorrenza del termine di legge di cui all'articolo 2503 del codice civile, decorso il quale le partecipanti potranno stipulare l'Atto di fusione.

Nel 2023 è stata perfezionata l'acquisizione di Valore BF 3d S.r.l. grazie alla quale SolidWorld ha acquisito un nuovo pacchetto clienti. Completata nel 2023 l'operazione di conferimento di un ramo d'azienda tecnologico da parte della società Formula E S.r.l., società del gruppo Vismunda S.r.l., leader mondiale di automazione per equipment dedicato al settore delle energie rinnovabili che ha permesso a SolidWorld Group di entrare nel mercato del solare. SOLIDWORLD GROUP: MERGER BY INCORPORATION OF THE SUBSIDIARY VALORE BF 3D S.R.L. INTO SOLIDWORLD GROUP S.P.A.

REGISTRATION OF DECISION ON THE MERGER

Treviso, December 18, 2024 – SolidWorld Group S.p.A., a company listed on the Euronext Growth Milan market (ticker S3D) and head of the Group leader in the sectors of industrial 3D design and printing technologies, 3D bio-manufacturing and latest generation machinery lines for photovoltaic panel production, following the announcements made on 4, 5, 14 and 16 December, announces that today the respective merger resolutions have been registered in the competent Registers of Companies for the start of the legal term referred to in Article 2503 of the Civil Code, after which the participants may enter into the Merger Deed.
