Reference is made to the stock exchange announcement from SoftOx Solutions AS ("SoftOx" or the "Company") published on 16 December 2020 regarding the successful completion of a private placement of 909,090 new shares in the Company (the "Private Placement") and a potential subsequent offering at the same subscription price as in the Private Placement (the "Subsequent Offering").

Other information: The Subsequent Offering is subject to (a) completion of the Private Placement (including Tranche 2), (b) approval of the share capital increase and issuance of new shares by the Company's extraordinary general meeting which will be held on or about 4 January 2021, and (c) the publication and approval of a national prospectus. The board of directors may, in its sole discretion, decide that the Company shall not carry out the Subsequent Offering.
