Additional Listing of Ordinary Shares

A listing application has been made for 629,883 ordinary shares of £0.0005 each to the Official List of the UK Listing Authority and to trading on the main market of the London Stock Exchange. The new ordinary shares will be issued fully paid and will rank pari passu in all respects with the existing issued ordinary shares of the Company. Admission of the 629,883 ordinary shares is expected to occur on 11 December 2015.

The new ordinary shares will be awarded to certain eligible employees of the Company pursuant to free share awards under the Softcat plc Share Incentive Plan. Such awards are consistent with the Company's stated intention of awarding free shares to eligible employees within 90 days of the admission of the Company's ordinary shares to the Official List of the UK Listing Authority and to trading on the main market of the London Stock Exchange, as disclosed in paragraph 8.6 ("Employee Award") of Part IX of the Company's prospectus dated 13 November 2015.

Under the exemptions in Prospectus Rules 1.2.2R(5) and 1.2.3R(6), the Company is not required to publish a prospectus in relation to the applications referred to above. This announcement comprises the information document referred to in Prospectus Rules 1.2.2R(5) and 1.2.3R(6).
