On July 18, 2011, SM Energy Company (the “Company”) issued a press release announcing that the Company entered into agreements to sell its Marcellus shale assets in McKean and Potter Counties, Pennsylvania. The transactions include the Company’s entire leasehold position in the play as well as associated pipeline assets. A copy of the press release is furnished as Exhibit 99.1 to this report.
