Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Pursuant to SKYX Platforms Corp.’s (the “Company”) succession and transition plan established when Lenny Sokolow joined as Co-Chief Executive Officer of the Company to accommodate John Campi’s retirement plan, on and effective as of September 30, 2025, John Campi retired as Co-Chief Executive Officer of the Company. Leonard Sokolow will continue in his role and as Chief Executive Officer of the Company. John Campi is also an investor in SKYX, will remain a shareholder of the Company, and will continue to assist the Company if needed.
