("Skillcast", the "Group", or the "Company")

Grant of share options

Skillcast Group plc (AIM: SKL), the provider of content and technology for digital compliance transformation, announces the grant of 1,600,000 share options (the "Options") over ordinary shares of 0.1 pence each ("Ordinary Shares") to a Director and a number of employees of the Company, under the Skillcast Group plc EMI and Non-Qualifying Share Option Plan. The Options have an exercise price of 21 pence per option, being the closing mid-market price of an Ordinary Share on 10 May 2023, the date of the grant.

Of the 1,600,000 Options granted, 920,000 Options have been granted to a director of the Company and persons discharging managerial responsibilities ("PDMRs"), as follows:

The 700,000 Options granted to Richard Steele will vest equally over three years based on continuing service. The remaining 900,000 Options will vest equally over four years based on continuing service.

Of the total 1,600,000 Options granted, 220,000 Options are non-tax advantaged share options over Ordinary Shares to two employees of the Company who are not resident in the UK. The remaining 1,380,000 Options are EMI qualifying options.

Following today's grant of Options, the Company currently has options outstanding over a total of 6,090,000 Ordinary Shares, representing 6.81% of the Company's current issued share capital.
