FATO RELEVANTE

A SIMPAR S.A. ("SIMPAR") (B3: SIMH3) e a MOVIDA Participações S.A. ("MOVIDA") e, em conjunto com SIMPAR, "Companhias") (B3:MOVI3), em cumprimento ao disposto na Lei nº 6.404/76 ("Lei das S.A."), na Resolução CVM nº 44/21 e na Resolução CVM nº 80/22 ("RCVM 80"), em continuidade aos fatos relevantes e aos avisos aos acionistas divulgados em 05 de março¹, 02 de abril, 13 de abril, 24 de abril e 08 de maio de 2026, vêm informar aos seus acionistas e ao mercado em geral que os Conselhos de Administração das Companhias aprovaram a homologação dos respectivos Aumentos de Capital, uma vez que as subscrições das respectivas Novas Ações ultrapassaram a quantidade mínima estabelecida para cada Aumento de Capital.

Aumento de Capital SIMPAR

O Aumento de Capital SIMPAR foi parcialmente subscrito e totalizou o montante de R$ 1.764.247.642,16 (um bilhão, setecentos e sessenta e quatro milhões, duzentos e quarenta e sete mil, seiscentos e quarenta e dois reais e dezesseis centavos) mediante a emissão de R$ 156.961.534 (cento e cinquenta e seis milhões, novecentas e sessenta e uma mil, quinhentas e trinta e quatro) Novas Ações SIMPAR, ao preço de emissão de R$ 11,24 (onze reais e vinte e quatro centavos).

Do preço de emissão unitário para cada Nova Ação SIMPAR emitida no Aumento de Capital SIMPAR, R$1,00 foi destinado à conta de capital social da SIMPAR e o valor restante à conta de reserva de capital.

Dessa maneira, em decorrência da homologação do Aumento de Capital SIMPAR, o capital social da SIMPAR passou de R$ 1.174.361.607,43 (um bilhão, cento e setenta e quatro milhões, trezentos e sessenta e um mil e seiscentos e sete reais e quarenta e três centavos), representado por R$ 426.797.757 (quatrocentas e vinte e seis milhões, setecentas e noventa e sete mil e setecentas e cinquenta e sete) ações ordinárias, todas nominativas, escriturais e sem valor nominal para R$ 1.331.323.141,43 (um bilhão, trezentos e trinta e um milhões, trezentos e vinte e três mil, cento e quarenta e um reais e quarenta e três centavos), representado por R$ 583.759.291 (quinhentas e oitenta e três milhões, setecentas e cinquenta e nove mil, duzentas e noventa e uma) ações ordinárias, todas nominativas, escriturais e sem valor nominal, totalmente subscritas e integralizadas.

Aumento de Capital MOVIDA

O Aumento de Capital MOVIDA foi integralmente subscrito e totalizou o montante de R$ 750.000.011,00 (setecentos e cinquenta milhões e onze reais) mediante a emissão de 63.993.175 (sessenta e três milhões, novecentas e noventa e três mil, cento e setenta e cinco) Novas Ações MOVIDA, ao preço de emissão de R$ 11,72 (onze reais e setenta e dois centavos).

Do preço de emissão unitário para cada Nova Ação MOVIDA emitida no Aumento de Capital MOVIDA, R$1,00 foi destinado à conta de capital social da MOVIDA e o valor restante à conta de reserva de capital.

Dessa maneira, em decorrência da homologação do Aumento de Capital MOVIDA, o capital social da MOVIDA passou de R$ 2.630.122.188,48 (dois bilhões, seiscentos e trinta milhões, cento e vinte e dois mil, cento e oitenta e oito reais e quarenta e oito centavos), representado por 338.165.766 (trezentas e trinta e oito milhões, cento e sessenta e cinco mil, setecentas e sessenta e seis) ações ordinárias, todas nominativas, escriturais e sem valor nominal para R$ 2.694.115.363,48 (dois bilhões, seiscentos e noventa e quatro milhões, cento e quinze mil, trezentos e sessenta e três reais e quarenta e oito centavos), representado por 402.158.941 (quatrocentos e duas milhões, cento e cinquenta e oito mil, novecentas e quarenta e um) ações ordinárias, todas nominativas, escriturais e sem valor nominal, totalmente subscritas e integralizadas.

Aumentos de Capital – Informações Comuns

Os Aumentos de Capital de SIMPAR e MOVIDA atingiram, respectivamente, 88,21% e 100% da subscrição máxima, demonstrando a confiança do mercado de capitais e da BNDESPAR, instituição de referência e com histórico de geração de valor no longo prazo, no Modelo de Negócio e na execução do planejamento estratégico do Grupo SIMPAR.

As Novas Ações emitidas pelas Companhias farão jus, em igualdade de condições com as ações atualmente existentes, a todos os benefícios, inclusive a dividendos, juros sobre o capital próprio e eventuais remunerações de capital que vierem a ser declarados pelas Companhias a partir desta data. As Novas Ações serão emitidas e creditadas em nome dos subscritores (em substituição aos recibos de subscrição) em até 3 (três) dias úteis contados a partir da presente data.

Acordos de Acionistas

As Companhias também informam que passaram a vigorar o Acordo de Acionistas da SIMPAR celebrado entre a JSP Holding S.A. e a BNDES Participações S.A. – BNDESPAR ("BNDESPAR") e o Acordo de Acionistas da MOVIDA celebrado entre a SIMPAR e a BNDESPAR.

MATERIAL FACT

SIMPAR S.A. (“SIMPAR”) (B3: SIMH3) and MOVIDA Participações S.A. (“MOVIDA” and, jointly with SIMPAR, the “Companies”) (B3:MOVI3), in compliance with Brazilian Corporate Law (Law No. 6,404/76) (“Brazilian Corporate Law”), CVM Resolution 44/21 and CVM Resolution 80/22 (“RCVM 80”), further to the material facts and notices to shareholders disclosed on March 5², April 2, April 13, April 24 and May 8, 2026, hereby inform their shareholders and the market in general that, on this date, the Boards of Directors of the Companies approved the ratification of their respective Capital Increases, since subscriptions for the respective New Shares exceeded the minimum amount established for each Capital Increase.

SIMPAR Capital Increase

The SIMPAR Capital Increase was partially subscribed and totaled R$ 1,764,247,642.16 (one billion, seven hundred sixty-four million, two hundred forty-seven thousand, six hundred forty-two reais and sixteen cents) through the issuance of 156,961,534 (one hundred fifty-six million, nine hundred sixty-one thousand, five hundred thirty-four) New SIMPAR Shares, at the issue price of R$11.24 (eleven reais and twenty-four centavos).

Of the unit issue price for each New SIMPAR Share issued in the SIMPAR Capital Increase, R$1.00 was allocated to SIMPAR’s share capital account and the remaining amount to the capital reserve account.

As a result of the ratification of the SIMPAR Capital Increase, SIMPAR’s share capital increased from R$ 1,174,361,607.43 (one billion, one hundred seventy-four million, three hundred sixty-one thousand, six hundred seven reais and forty-three centavos), represented by 426,797,757 (four hundred twenty-six million, seven hundred ninety-seven thousand, seven hundred fifty-seven) common shares, all registered, book-entry and with no par value, to R$ 1,331,323,141.43 (one billion, three hundred thirty-one million, three hundred twenty-three thousand, one hundred forty-one reais and forty-three cents), represented by 583,759,291 (five hundred eighty-three million, seven hundred fifty-nine thousand, two hundred ninety-one) common shares, all registered, book-entry and with no par value, fully subscribed and paid in.

MOVIDA Capital Increase

The MOVIDA Capital Increase was fully subscribed and totaled R$ 750,000,011.00 (seven hundred fifty million and eleven reais) through the issuance of 63,993,175 (sixty-three million, nine hundred ninety-three thousand, one hundred seventy-five) New MOVIDA Shares, at the issue price of R$11.72 (eleven reais and seventy-two centavos).

Of the unit issue price for each New MOVIDA Share issued in the MOVIDA Capital Increase, R$1.00 was allocated to MOVIDA's share capital account and the remaining amount to the capital reserve account.

As a result of the ratification of the MOVIDA Capital Increase, MOVIDA's share capital increased from R$ 2,630,122,188.48 (two billion, six hundred thirty million, one hundred twenty-two thousand, one hundred eighty-eight reais and forty-eight cents), represented by 338,165,766 (three hundred thirty-eight million, one hundred sixty-five thousand, seven hundred sixty-six) common shares, all registered, book-entry and with no par value, to R$ 2,694,115,363.48 (two billion, six hundred ninety-four million, one hundred fifteen thousand, three hundred sixty-three reais and forty-eight cents), represented by 402,158,941 (four hundred two million, one hundred fifty-eight thousand, nine hundred forty-one) common shares, all registered, book-entry and with no par value, fully subscribed and paid in.

Capital Increases – Common Information

The SIMPAR and MOVIDA Capital Increases reached 88.21% and 100% of the maximum subscription amount, respectively, demonstrating the confidence of the capital markets and BNDESPAR, a benchmark institution with a long-standing track record of long-term value creation, in the SIMPAR Group's Business Model and execution of its strategic planning.

The New Shares issued by the Companies shall be entitled, on equal terms with the existing shares, to all benefits, including dividends, interest on equity and any capital distributions that may be declared by the Companies as of this date. The New Shares will be issued and credited in the name of the subscribers (in lieu of subscription receipts) within up to 3 (three) business days from this date.

Shareholders' Agreements

The Companies also inform that, on this date, the SIMPAR Shareholders' Agreement entered into between JSP Holding S.A. and BNDES Participações S.A. – BNDESPAR ("BNDESPAR"), as well as the MOVIDA Shareholders' Agreement entered into between SIMPAR and BNDESPAR, became effective.
