Exercise of Warrants and Options and TVR

SigmaRoc (AIM: SRC), the AIM quoted buy-and-build construction materials group, announces that it has received warrant exercise notices to subscribe for 1,026,014 new ordinary shares in the capital of the Company ('Ordinary Shares') at an exercise price of 44 pence per share and option exercise notices to subscribe for 33,332 Ordinary Shares at an exercise price of 46 pence per share.

Application has been made to London Stock Exchange plc for the new Ordinary Shares to be admitted to trading on the AIM, which is expected to occur at 8:00 a.m. on 30 April 2021 ('Admission').

Total Voting Rights

In accordance with the provision of the Disclosure Guidance and Transparency Rules of the FCA ('DTRs'), the Company confirms that, following Admission, its issued share capital will comprise 279,798,532 Ordinary Shares.  The Company does not hold any Ordinary Shares in Treasury.  Therefore, the total voting rights in the Company will be 279,798,532.  This figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the DTRs. The new Ordinary Shares will, following Admission, rank pari passu in all respects with the existing Ordinary Shares.
