     Following the resolution of the the Supervisory Service of the Bank of

Lithuania dated 16 May 2016 Šiaulių Bankas is allowed to register an amendment
of item 3.5. of the Charter of the Bank related to increase of the authorized
capital of the Bank up to EUR 109 471658.33 from the funds of the Bank as
approved by the General Meeting of Shareholders held on 30 March 2016.
