In terms of Regulation 30 and other applicable provisions of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with related circulars and notifications, following matter was approved by the Board of Directors in its meeting held today, i.e. June 2, 2026:

1. Based on the recommendation of the Nomination and Remuneration Committee Confirmation of appointment of Mr. Vinay Madhukar Nayak (DIN: 08494834) as a Non-Executive Non-Independent Director of the Company and to recommend the members to regularize his appointment through ensuing Postal Ballot.

2. Based on the recommendation of the Nomination and Remuneration Committee Re-appointment of Mr. Sudhir Balu Mehta, (DIN: 02215452) as a Managing Director of the Company for another term of 5 Years with effect from August 7, 2026 upto and including August 6, 2031 on the terms and conditions of appointment including the payment of remuneration, perquisites and other benefits and including the remuneration to be paid in the event of loss or inadequacy of profits in any financial year, for the period from August 7, 2026 to August 6, 2031 subject to the approval of the Shareholders at the ensuing Annual General Meeting of the Company.

3. Based on the recommendation of the Nomination and Remuneration Committee Re-appointment of Mrs. Shivangi Datta, (DIN: 09262501) as an Independent Director of the Company for Second term of 5 Years with effect from August 7, 2026 upto and including August 6, 2031 subject to the approval of the Shareholders at the ensuing Annual General Meeting of the Company.

Approved the Draft Notice of the Postal Ballot for seeking consent of the members of the Company for the proposed resolution for confirmation of appointment of Mr. Vinay Nayak as an Non-Executive Director (DIN: 084948349), Re-appointment of Mr. Sudhir Balu Mehta as a Managing Director (DIN:02215452) and Re-appointment of Mrs. Shivangi Datta, (DIN: 09262501)) as an Independent Director of the Company for Second term of 5 Years.

2. Appointment of Ms. Neeta H. Desai (Membership No. 3262, COP No. 4741) of M/s ND & Associates, Practicing Company Secretaries as the scrutinizer (“Scrutinizer”) for conducting the ensuing Postal Ballot through e-voting process in a fair and transparent manner.

3. Appointment of National Securities Depository Limited (NSDL) as E- Voting Agency for providing the e-voting facility to all its members in respect of ensuing Postal Ballot.

The disclosure pursuant to Regulation 30 of (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 are enclosed as ‘Annexure – I’.

The meeting of the Board of Directors commenced at 3.00 P.M. (IST) and concluded at 3.50 P.M. (IST).

He has a wide experience in retail sales and operation, which will benefit business operations of the Company.	Mr. Sudhir B Mehta is a young business entrepreneur with a total experience of over 15 years in the area of real estate development and management. He has been the visionary behind the growth and success of Shraddha Group. He has vast experience in execution and management of wide variety of construction and development of projects. His core area of operations includes identification of land / properties & formulation of finance and business strategies.	An accomplished results driven Human Resource professional with over 14 years' experience in creating and implementing programs to improve business operations. Ms. Shivangi is a graduate in Psychology (Hons) followed by a masters in HR & Marketing. Born and brought up in Jaipur and has worked in New Delhi &Mumbai and few overseas assignments.
