Section 430 (2B) Companies Act 2006 Statement - Ralph D. Crosby, Jr

As announced on 24 May 2017, following six years' contribution to the success of Serco Group plc (the "Company") Ralph D. Crosby, Jr stepped down as a non-Executive Director of the Company with effect from 1 July 2017.

The following information is provided in accordance with section 430 (2B) of the Companies Act 2006:

The Company confirms that, other than fees payable to Ralph for the period up to 1 July 2017, no remuneration or payment has been or will be made to him in connection with his ceasing to be a director of the Company.

The Company's Remuneration Report for the financial year ending 31 December 2017 will include details of the fees earned by Ralph during the relevant period.
