SEGRO plc (the Company)

Director/PDMR Shareholding

Under the SEGRO plc Deferred Share Bonus Plan (DSBP), on 28 June 2017 the following awards were granted to Directors/PDMRs of the Company in respect of the 2016 bonus (the Bonus):

Notes:

(a) The awards shown above have been structured as provisional allocations over ordinary shares in the Company.  Further details of the operation of the DSBP are available in the Company's 2016 Annual Report and Accounts.    

(b) The calculation of the awards was based on a share price of 495.5 pence, which was the Company's closing mid-market quotation share price on 27 June 2017. 

(c) As set out in the Remuneration Committee Report of the 2016 Annual Report and Accounts, achievement under the Total Property Return (TPR) element of the Bonus for the Executive Directors was estimated at 100 per cent. This has been confirmed by the recently available MSCI - IPD Benchmark data, which also confirmed the achievement of 100 per cent of this element for PDMRs.

(d) As previously announced, when Soumen Das left his previous employer he forfeited his 2016 bonus entitlement.  This was paid by the Company, as part of his recruitment terms, with 50 per cent of the payment being deferred under the rules of the DSBP.
