SEGRO plc (the Company)

On 2 May 2017, following a recommendation made by the Company, the Trustees of the SEGRO plc Employees' Benefit Trust (Trustees) notified the Company that it had resolved to grant the below awards under the SEGRO plc Long Term Incentive Plan (LTIP) to Soumen Das.

Also on 2 May 2017, under the SEGRO plc Deferred Share Bonus Plan (DSBP) the following awards were granted to Mr Das.

Notes:

(a)  The above awards have been structured as provisional allocations over ordinary shares in the Company.

(b)  As disclosed in the 2016 Annual Report and Accounts, these awards represent the share awards forfeited by Mr Das upon leaving his previous employer.

(c)  Mr Das received his shares net of adjustments for Income Tax and National Insurance Contributions.

(d)  The calculation of the release was based on a share price of 485.7 pence, which was the Company's closing mid-market share price on 28 April 2017.
