SEGRO plc (the "Company")

Director/PDMR Shareholding

In accordance with the Market Abuse Regulation (2014/596/EU) ("MAR"), the Company announces the following transactions in respect of its ordinary share capital of 10 pence each by Directors and PDMRs of the Company who took up their Rights pursuant to the Rights Issue announced by the Company on 10 March 2017.

Under the Rights Issue, qualifying shareholders had the right to buy one new ordinary share of 10 pence each in the Company for every existing five ordinary shares of 10 pence each in the Company held on the record date of 8 March 2017 at a price of 345 pence per new ordinary share.

The table below shows the number of shares held by "persons discharging managerial responsibilities", as such term is defined in MAR, prior to and after the allotment of new shares acquired pursuant to the Rights Issue:
