Am 25. September 2024 hat CPI Property Group S.A. jeweils als Verkäuferin Aktienkaufverträge mit IMMOFINANZ AG als Käuferin über 20.806.596 Aktien von S IMMO AG und mit GENA NEUN Beteiligungsverwaltung GmbH als Käuferin über 7.434.498 Aktien von S IMMO AG abgeschlossen. Die Übertragung des Großteils der vertragsgegenständlichen Aktien ist nun erfolgt, wobei die Übertragung der ausständigen 2.565.502 Aktien (entsprechend rd. 3,49 %) in den nächsten Tagen erwartet wird.

CPI Property Group S.A. hat ihre direkte Beteiligung an S IMMO AG (28.241.094 Aktien/Stimmrechte, entsprechend rd. 38,37%) verkauft. Bis zum heutigen Tag wurden insgesamt 25.675.592 Aktien/Stimmrechte, entsprechend rd. 34,88%, an IMMOFINANZ AG und GENA NEUN Beteiligungsverwaltung GmbH übertragen. Dadurch hat CPI Property Group S.A. die Meldeschwellen von 35%, 30%, 25%, 20%, 15%, 10%, 5% und 4% unterschritten (§ 130 BörseG 2018).

IMMOFINANZ AG hält nun direkt 55.488.174 Aktien/Stimmrechte (entsprechend rd. 75,38%) und hat mit ihrem unmittelbaren Stimmrechtsanteil an S IMMO AG die Meldeschwelle von 75% überschritten (§ 130 BörseG 2018). Demgegenüber hat IMMOFINANZ AG die Meldeschwellen von 25%, 20%, 15%, 10%, 5% und 4% für Finanzinstrumente unterschritten (§ 131 BörseG 2018).

GENA NEUN Beteiligungsverwaltung GmbH hält direkt 7.434.498 Aktien/Stimmrechte (entsprechend rd. 10,10%) und hat mit ihrem unmittelbaren Stimmrechtsanteil an S IMMO AG die Meldeschwellen von 4%, 5% und 10% überschritten (§ 130 BörseG 2018). Demgegenüber hat GENA NEUN Beteiligungsverwaltung GmbH die Meldeschwellen von 10%, 5% und 4% für Finanzinstrumente unterschritten (§ 131 BörseG 2018).

Die Gesamtzahl der Stimmrechte an S IMMO AG, die Herrn Radovan Vitek zuzurechnen sind, hat sich dadurch nicht verändert.
