RWE AG: RWE sells majority of shares in Amprion GmbH to a consortium of financial investors

RWE Aktiengesellschaft is to sell 74.9% of its shares in Amprion GmbH to a
consortium of financial investors consisting of insurance companies and
special pension funds. The contracts were signed today. The transaction is
in particular subject to the approval of the Supervisory Board of RWE AG as
well as the responsible anti-trust authorities. Completion of the
transaction is expected in the third quarter of 2011.

Initially, RWE will take a shareholding of 14.5 % in the consortium, which,
in addition to its minority shareholding of 25.1 %, will give it a further
indirect share in Amprion of approximately 10.8 %. Such share in the
consortium is to be sold on to further investors in the short term.

The sale price is based on an overall enterprise value of approximately
EUR 1.3 billion (as at 1 January 2011).

Amprion GmbH is a leading transmission systems operator and operates the
longest extra-high-voltage network in Germany (11,000 kilometres). When the
transaction is completed, Amprion will be deconsolidated and the RWE
Group's investment volume for network expansion will decrease by some
EUR 2.5 billion over the coming 10 years. The transaction will reduce RWE's
net debt and thus make a further contribution towards the company's aim of
improving its debt situation.
