Rox Resources Limited ("Rox") confirms that the agreement dated 20 February 2004 between it and Deep Yellow Limited ("Deep Yellow") for the acquisition of Deep Yellow's interest in Menzies and Lady Irene projects ("Deep Yellow Sale Agreement") has been completed and that Rox has signed a Deed of Assignment and Acknowledgement to replace Deep Yellow as a party to the agreement between Deep Yellow and Paddington Gold Pty Ltd ("Paddington Sale Agreement").
