Şirketimiz pay sahiplerinden GIC Private Limited ("GIC") tarafından Şirketimize iletilen açıklama aşağıda paylaşılmaktadır.

GIC, 25.11.2025, 26.11.2025 tarihli özel durum açıklamalarına ilişkin olarak; nitelikli kurumsal yatırımcılara, "hızlandırılmış talep toplama yöntemiyle" pay satışı işleminin takasının tamamlandığını duyurmaktadır.

Söz konusu takasın tamamlanmasının ardından, Şirketimiz'in Rönesans Gayrimenkul Yatırım A.Ş. sermayesindeki doğrudan pay sahipliği oranı %18,377 ‘den %13,846'ya düşmüştür.

Yukarıdaki açıklamalarımızın, Sermaye Piyasası Kurulu'nun yürürlükteki Özel Durumlar Tebliğinde yer alan esaslara uygun olduğunu, bu konuda/konularda tarafımıza ulaşan bilgileri tam olarak yansıttığını, bilgilerin defter, kayıt ve belgelerimize uygun olduğunu, konuyla ilgili bilgileri tam ve doğru olarak elde etmek için gerekli tüm çabaları gösterdiğimizi ve yapılan bu açıklamalardan sorumlu olduğumuzu beyan ederiz.

The statement submitted to our Company by GIC Private Limited (" GIC "), one of the shareholders of our Company, is shared below.

With reference to the material event disclosures dated 25 November 2025 and 26 November 2025, GIC hereby announces the completion of the settlement of the share sale transaction to qualified institutional investors carried out through the accelerated bookbuilding method.

Following the completion of the said settlement, our Company's direct shareholding in the share capital of Rönesans Gayrimenkul Yatırım A.Ş. has decreased from 18.377 % to 13.846%.

We hereby declare that our above disclosures are in compliance with the principles set forth in the Capital Markets Board's Communiqué on Material Events currently in force; that they fully reflect the information communicated to us on the relevant matter(s); that such information is consistent with our books, records, and documents; that we have made all reasonable efforts to obtain accurate and complete information on the subject; and that we are responsible for these disclosures made.
