CLEANSING NOTICE

ASX RELEASE: 1 MAY 2023

In accordance with Section 705A(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act), Resource Base Limited ( ASX:RBX ) ( Resource Base or the Company ), hereby confirms that:

• a. the Company has issued fully paid ordinary shares (Securities) in the number, at the issue price, on the terms and for the purposes as set out in the ASX Appendix 2A lodged on 1 May 2023 prior to this announcement.

• b. the Securities were issued without disclosure to the vendors of the James Bay Lithium projects under Part 6D.2 of the Corporations Act;

• c. the Company is providing this notice under paragraph 5(e) of section 708A of the Corporations Act;

• d. as at the date of this notice the Company has complied with:

  • i. the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • ii. sections 674 and 674A of the Corporations Act; and

• e. as at the date of this announcement, there is no excluded information of the type referred to in Sections 708A(7) and 708A(8) of the Corporations Act.
