RELATECH: NOTICE OF SUBSTANTIAL CHANGE OF SIGNIFICANT SHAREHOLDERS FOLLOWING RENUNCIATION OF THE INCREASED VOTING RIGHTS
Milan, 24th of July 2024
Relatech S.p.A., Digital Enabler Solution Know-how (DESK) Company listed on the Euronext Growth Milan market (Ticker: RLT), hereby gives notice pursuant to Article 17 of the Euronext Growth Milan Issuers' Regulations that, on 23 July 2024, the shareholders Pasquale Lambardi (also on behalf of Gaxder S.r.l, a wholly-owned subsidiary of Pasquale Lambardi, hereinafter referred to as 'Gaxder') and Silvio Cosoleto, have notified the Company that they have reduced the voting rights attached to their respective stakes in Relatech's share capital below materiality thresholds as a result of the waiver of the increased voting rights following the request for deletion of the shares held from the Special List (made on 19 July 2024 by Pasquale Lambardi and by Gaxder, on 23 July 2024 by Silvio Cosoleto).

the total voting rights referred directly and indirectly (through Gaxder) to Pasquale Lambardi have been reduced below the relevance threshold of 66.6% of the voting rights in Relatech, passing from 67.40% to 53.92%. Therefore, the total shareholding currently held by Pasquale Lambardi corresponds to 23,080,469 shares (of which 20,098,868 shares are held through Gaxder), which confer 53.92% of the voting rights in Relatech;

the voting rights held by Silvio Cosoleto decreased below the 5% significance threshold of the voting rights in Relatech, from 5.19% to 4.09%. Therefore, Silvio Cosoleto's shareholding corresponds to 1,752,548 shares, which confer 4.09% of the voting rights in Relatech.
Based on the communications received from the shareholders and the information available to the Company to date, the Company reports that, based on the latest information in its possession, Relatech's current shareholding structure is as follows:
