Rathbones Group Plc (the "Company")
Notification of Transactions of Persons Discharging Managerial Responsibilities
The Company announces that the following PDMRs were granted share awards in accordance with the rules of the Rathbones Executive Share Performance Plan for 2022.
The Restricted Share Award will vest on the third anniversary of the grant date and a further two-year holding period will apply. These awards were made at a share price of £13.87, based on the average share price over five days preceding the grant date and discounted to reflect the absence of dividend equivalents over the three-year vesting period. The PDMRs will not be permitted to sell any shares during this time.
The Deferred Share Award will vest over a three-year period in equal tranches of one third per annum. These awards were made at a share price of £15.35, £14.61, and £13.87, based on the average share price over five days preceding the grant date and discounted to reflect the absence of dividend equivalents over the annual vesting cycle. The awards are subject to malus and clawback provisions.
