Press release Randstad shareholders adopt AGM resolutions
At the Randstad Annual General Meeting of shareholders today, all resolutions on the agenda were adopted.
Shareholders adopted the financial statements 2010 and approved the proposal to pay dividend of € 1.18 per ordinary share and € 0.284 per type-B preference share. Dividend will be paid on April 21, 2011.
Fritz Fröhlich was reappointed as member of the Supervisory Board and Jaap Winter, nominated by Randstad Beheer, was appointed as member of the Supervisory Board.
Frits Goldschmeding, founder of Randstad, stepped down as member of the Supervisory Board after serving the maximum of three four-year periods. He remains Randstad's leading shareholder. Shareholders also adopted the following resolutions:
- Discharge of liability of members of the Executive Board for the management and members of the Supervisory Board for the supervision of management
- Reappointment of PricewaterhouseCoopers as external auditor for the years 2011 and 2012
- Amendment of the articles of association of Randstad Holding nv
- Extension of the authority of the Executive Board to issue shares (including the authority to restrict or exclude the pre-emptive right to any issue of shares)
- Remuneration of the Supervisory Board
