QUADRO RESOURCES LTD. NOTICE OF CHANGE OF AUDITOR

On August 12, 2024, Davidson & Company, LLP, of Vancouver, British Columbia, the auditor (“Former Auditor”) of Quadro Resources Ltd. (the “Company”), resigned as auditor and on August 12, 2024 Crowe MacKay, LLP, of Vancouver, British Columbia, were appointed as the successor auditor (the “Successor Auditor”) of the Company.

The Board of Directors of the Company considered and approved the acceptance of the resignation of the Former Auditor and the appointment of the Successor Auditor.

None of the Former Auditor’s reports on any of the Corporation’s financial statements relating to the Corporation’s financial periods commencing June 2001 contained any reservations.

There have been no “reportable events” (as defined in Section 4.11 of National Instrument 51-102 of the Canadian securities regulatory authorities) in respect of the Corporation.
