Short Term Advance

On 28 September 2011, Praemium Limited (ASX:PPS) entered into agreements with a related party of its Chairman, Bruce Parncutt and its Chief Executive Officer, Michael Ohanessian pursuant to which, each of them has agreed to advance $500,000 to the Company on an unsecured basis.

The advances will ensure the Company’s cash balances remain above minimum regulatory, contractual and operating requirements prior to the settlement of the $5 million equity placement announced on 14 September 2011. At 22 September the Company had cash of $2.6 million and no debt.

The amounts advanced equal the value of the shares committed for by Mr Parncutt and Mr Ohanessian in the placement. The Company intends the advances will be repaid out of the placement funds. In the event that the placement does not gain shareholder approval, the advances are repayable by 31 January 2012 or, alternatively, at the Company’s option subject to shareholder approval, by issuing shares at a 15% discount (based on a 30 day VWAP period) within 90 days of that date.
