On May 22, 2017, PRA Group, Inc. (the “Company”) issued a press release announcing its intent, subject to market and other conditions, to offer $300 million aggregate principal amount of convertible senior notes due 2023 in a private placement to qualified, institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended.
