Item 1.01 Entry into a Material Definitive Agreement.

On August 6, 2013, Portfolio Recovery Associates, Inc. (the "Company") entered into a First Amendment (the "First Amendment") to that certain Credit Agreement dated December 19, 2012, by and among the lenders party thereto and Bank of America, N.A., as the administrative agent (the "Credit Agreement"). The First Amendment amended and restated certain provisions to clarify the permitted indebtedness basket for the issuance of senior, unsecured convertible notes in an aggregate amount not to exceed $300,000,000. Among other things, the amendment clarifies that the Company may settle conversion of the notes in cash, repurchase the notes upon the occurrence of a fundamental change (as defined therein) or change of control, and retire the notes at maturity, subject, in each case, to the satisfaction of certain conditions. The amendment also makes certain technical changes to provisions regarding swap obligations to conform to recent changes in law. The foregoing description of the First Amendment does not purport to be complete and is qualified in its entirety by reference to the full text of such document, which is filed herewith, as Exhibit 10.1 and is incorporated herein by reference.
