Item 5.02 Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective November 3, 2014, Marjorie Connelly resigned from the Board of Directors (the “Board”) of PRA Group, Inc. (the “Company”), and assumed the position of Chief Operating Officer of Convergys. Ms. Connelly’s resignation from the Board results from the assumption of her new responsibilities at Convergys and is not due to any disagreement with the Company or related to any of the Company’s operations, policies or practices. Ms. Connelly has served as a member of the Audit Committee and the Compensation Committee of the Board. The Company has expressed its gratitude to Ms. Connelly for her valuable service to the Company.
