Subject: Closing of the transaction for takeover of the agricultural companies of Fortenova Group - inside information

Following the previous notices, Podravka Inc. hereby informs that all conditions of the purchase agreement for takeover of the agricultural companies of Fortenova Group have been met and on January 3 1*, 2025, Podravka Agri d.o.o. paid the purchase price, and transaction is closed.

By closing the transaction, Podravka Inc. and the European Bank for Reconstruction and Development, through the company Podravka Agri d.o.o.(in which Podravka Inc. have 84.99% ownership stake and the European Bank for Reconstruction and Development have 15.01% ownership stake), have taken over the companies Belje plus d.o.o., Vupik plus d.o.o., PIK-Vinkovci plus d.o.o., Belje Agro-Vet plus d.o.o. and Felix plus d.o.o.

For the payment of the purchase price, Podravka Inc. has provided funds in the amount of EUR 283 million in recapitalization process of company Podravka Agri d.o.o., through a club loan approved by Croatian commercial banks, and the European Bank for Reconstruction and Development has provided the amount of EUR 50 million in the recapitalization process of the company Podravka Agri d.o.o.
