Subject: Notice of approval by the competition authorities - inside information

Podravka Inc., Ante Starčevića 32, Koprivnica, OlB: 18928523252, hereby informs that the Company Podravka Agri d.o.o.has received a positive decision from the Public Agency of the Republic of Slovenia for the Protection of Competition on January 23d 2025, which is the latest in a series of decisions received, obtaining now all necessary regulatory approvals for the Company Podravka Agricultural segment of the Fortenova Group, which consists of Belje plus d.o.o., PIK-Vinkovci plus d.o.o., Energja Gradec d.o.o., Belje Agro-Vet plus d.o.o. and Felix plus d.o.o.

Podravka Agri d.o.o. has previously received positive decisions from the competition authorities of Republic of Croatia, North Macedonia, Bosnia and Herzegovina, Kosovo, Montenegro and Serbia.

Approvals from the competition authorities allow that in the next few days Podravka Inc. and the European Bank for Reconstruction and Development, through the Company Podravka Agri d.o.o. (in which Podravka Inc. will own an 84.99 percent ownership stake, while the European Bank for Reconstruction and Development will own 15.01 percent) and the Fortenova Group to undertake all the following steps to close the transaction, which is planned by January 31st, 2025 at the latest.
